1. About BloomStreet AI

BloomStreet AI is an agentic AI platform built for small, family-operated businesses with fewer than 10 employees. Our platform provides AI agents that help businesses capture and convert leads, increase revenue from existing customers, and execute marketing — so business owners can focus on what they do best.

BloomStreet AI is operated by BloomStreet AI, Inc. ("BloomStreet AI," "we," "us," or "our"). Our services are available at www.bloomstreet.ai and through any associated applications or integrations.

2. Eligibility & Account Registration

2.1 Who Can Use BloomStreet AI

• You must be at least 18 years of age to use our services
• You must be a business owner, authorized representative, or employee of a business entity
• You must provide accurate, complete, and current information when creating your account
• BloomStreet AI is designed for small businesses. We reserve the right to decline or terminate accounts that do not align with our intended use case

2.2 Account Responsibility

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@bloomstreet.ai if you suspect any unauthorized use of your account.

3. Services & AI Agents

3.1 Available Services

BloomStreet AI provides the following AI-powered agents and services, subject to your subscription plan:

• Email Reading & Inbox Management Agent — intelligent processing and organization of your business email
• Lead Management & Follow-Up Agent — automated lead capture, tracking, and follow-up sequences
• Customer Value Creation Agent — cross-sell and upsell recommendations for existing customers
• Marketing Agent — AI-assisted marketing campaign creation and execution
• Additional agents including SEO, blog writing, onboarding, and others as they become available

3.2 Nature of AI Services

AI-generated content, recommendations, and actions should be reviewed by you before being acted upon. BloomStreet AI does not guarantee specific business outcomes, lead conversions, revenue increases, or marketing results.

3.3 Free Trial

BloomStreet AI offers a 14-day free trial for new customers. No payment is required to begin your trial. At the end of the trial period, you will need to select a paid subscription plan to continue using the service. We reserve the right to modify or discontinue free trial offers at any time.

3.4 Service Availability

We aim to provide a reliable, high-availability service but do not guarantee uninterrupted access. We may perform scheduled maintenance, updates, or experience unexpected downtime. We will provide advance notice of planned maintenance where reasonably possible.

4. Subscription Plans & Payment

4.1 Subscription Tiers

BloomStreet AI offers tiered subscription plans. Plan details, features, usage limits, and pricing are described on our website at www.bloomstreet.ai/pricing. We reserve the right to modify plan features and pricing with reasonable advance notice.

4.2 Usage Limits

Each subscription plan includes defined usage limits across the following dimensions:

• Number of emails processed per month
• Number of active contacts (customers and leads) in the system
• Volume of AI-generated content pieces per month
• Number of automated upsell and cross-sell interactions per month

If you exceed your plan's usage limits, we will notify you and provide options to upgrade your plan or purchase additional capacity. We will not interrupt your service without notice.

4.3 Billing & Payment

• Subscriptions are billed monthly or annually in advance, depending on your selected billing cycle
• Payment is due at the start of each billing period
• We accept major credit cards and other payment methods as listed on our website
• Annual plans are offered at a discounted rate equivalent to approximately two months free
• All prices are listed in US Dollars unless otherwise stated

4.4 Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize BloomStreet AI to charge your payment method on file for the renewal amount.

4.5 Refund Policy

Due to the nature of AI-powered software services, we do not offer refunds for subscription fees already paid, except where required by applicable law. If you believe you have been charged in error, contact us at billing@bloomstreet.ai within 30 days of the charge.

4.6 Price Changes

We may change subscription pricing with at least 30 days written notice to your registered email address. Continued use of the service after the effective date of a price change constitutes your acceptance of the new pricing.

5. Add-On Agents & Features

Certain agents and features are available as optional paid add-ons beyond the base subscription plan, including but not limited to the SEO & GEO Agent, Blog Writing Agent, and Client Onboarding Agent. Add-ons are billed monthly in addition to your base subscription and may be cancelled at any time effective at the end of the current billing period.

6. Your Data & Privacy

6.1 Your Data Belongs to You

You retain full ownership of all data you provide to BloomStreet AI, including your customer and lead information. We act solely as a data processor on your behalf. We do not claim any ownership rights over your data.

6.2 How We Use Your Data

We use your data exclusively to deliver the services you have subscribed to. We do not sell, license, or share your data with third parties for their own commercial purposes. We do not use your data to train AI models. For full details, please review our Data Privacy & Security Policy.

6.3 Customer Data (Your Customers' Data)

In providing our services, you may share data about your own customers and leads with BloomStreet AI. You represent and warrant that you have obtained all necessary consents and rights to share this data with us and to use it in connection with our services. You are the data controller for your customers' information; we process it only as directed by you.

6.4 Data Security

We implement industry-standard security measures to protect your data, including encryption at rest and in transit, access controls, and monitoring. See our Data Privacy & Security Policy for full details.

6.5 Data Deletion

Upon termination of your account, we will permanently delete your data within 30 days, unless you request an export beforehand or we are required by law to retain certain information.

7. Acceptable Use Policy

7.1 Permitted Use

You may use BloomStreet AI solely for lawful business purposes in connection with your own business operations.

7.2 Prohibited Use

You may not use BloomStreet AI to:

• Send spam, unsolicited communications, or violate anti-spam laws including CAN-SPAM, CASL, or GDPR
• Harass, threaten, or deceive any individual or business
• Impersonate any person, business, or entity
• Violate any applicable local, state, federal, or international law or regulation
• Transmit malicious code, viruses, or disruptive data
• Attempt to gain unauthorized access to our systems or another user's account
• Reverse engineer, decompile, or attempt to extract the source code of our platform
• Resell, sublicense, or white-label our services without our explicit written consent
• Use the platform in connection with industries or activities that are illegal or harmful

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

8. Intellectual Property

8.1 BloomStreet AI Platform

BloomStreet AI and all of its underlying technology, software, algorithms, agent frameworks, branding, and content are the exclusive intellectual property of BloomStreet AI, Inc. These terms do not grant you any ownership interest in our platform.

8.2 AI-Generated Content

Content generated by BloomStreet AI agents on your behalf — including marketing copy, follow-up emails, blog posts, and SEO content — is provided to you for your use in your business. You own the output generated specifically for your account, subject to any third-party model provider terms.

8.3 Feedback

If you provide feedback, suggestions, or ideas about our platform, you grant BloomStreet AI a perpetual, royalty-free license to use that feedback to improve our services, without any obligation to compensate you.

9. Third-Party Integrations

BloomStreet AI may integrate with third-party platforms such as email providers, CRM systems, and social media platforms. These integrations are provided as a convenience. BloomStreet AI is not responsible for the availability, security, or functionality of third-party services. Your use of third-party services is subject to their own terms and privacy policies, which we encourage you to review.

10. Disclaimers & Limitation of Liability

10.1 No Guarantee of Results

10.2 Service Provided As-Is

BloomStreet AI is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10.3 Limitation of Liability

To the maximum extent permitted by applicable law, BloomStreet AI's total liability to you for any claims arising out of or related to these terms or our services shall not exceed the total amount you paid to us in the 12 months preceding the claim. In no event shall BloomStreet AI be liable for any indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless BloomStreet AI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of our services; (b) your violation of these terms; (c) your violation of any third-party rights; or (d) any content or data you provide to our platform.

12. Termination

12.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting support@bloomstreet.ai. Cancellation takes effect at the end of your current billing period. You will retain access to the service through the end of the paid period.

12.2 Termination by BloomStreet AI

We reserve the right to suspend or terminate your account at any time if we believe you have violated these Terms of Service, engaged in fraudulent activity, or if required by law. We will provide notice where reasonably possible.

12.3 Effect of Termination

Upon termination, your right to access the service ceases immediately. We will delete your data within 30 days as described in Section 6.5. Sections relating to intellectual property, disclaimers, limitation of liability, and indemnification survive termination.

13. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of material changes by email at least 30 days before they take effect. If you continue using BloomStreet AI after the effective date, you accept the updated terms. If you do not agree with changes, you may cancel your subscription before the effective date.

14. Governing Law & Dispute Resolution

These Terms of Service are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. Nothing in this section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction.

15. General Provisions

• Entire Agreement — These Terms, together with our Privacy Policy, constitute the entire agreement between you and BloomStreet AI regarding the use of our services
• Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force
• Waiver — Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future
• Assignment — You may not assign your rights under these Terms without our prior written consent. We may assign our rights to a successor entity in connection with a merger, acquisition, or sale of assets
• Force Majeure — BloomStreet AI shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control
